Only 22% of CEOs feel they receive effective support from their boards, compared to 43% of directors who believe they’re providing it, according to a Spencer Stuart confidence gap survey.
What’s clear is that the divide has real consequences. CEOs who feel supported report stronger outcomes: higher shareholder returns, greater growth achievement, and better alignment.
So, why the disconnect? And more importantly—what can be done about it?
CEOs Don’t Just Need Oversight, They Need Allies: The old model of board engagement may not be cutting it. Today’s CEOs are navigating a volatile world filled with complex challenges. CEOs are looking for thought partners, deep expertise, and a trusted sounding board to navigate complex problems.
But many CEOs are uncomfortable showing vulnerability with their boards. Only 15% say they always feel comfortable being candid when making tough strategic calls. Meanwhile, 67% of directors admit it’s time to rethink the model of CEO-board engagement.
Enter the CHRO: If anyone is positioned to close the gap and bring clarity to this relationship, it’s the CHRO, who serves as the bridge between strategy, people, and purpose.
Here are 4 ways the CHROs can reset the board–CEO relationship and strengthen dynamics.
1. Facilitate Trust & Communication
Set the tone to align on expectations from day one. During onboarding, the CHRO should initiate structured conversations between the CEO and Chair/Lead Director — especially around how board time will be allocated between governance vs. strategic dialogue.
2. Advise on Board Composition & Expertise
Work with the nominating/governance committee to map the board’s expertise against emerging business needs. Where there are gaps, recommend targeted education, external advisors, or succession planning solutions.
3. Champion Culture & Collaboration
Encourage board members to engage beyond the CEO. Spend time with the senior team. CHROs should regularly pulse-check the executive team’s perception of board engagement. Share this feedback candidly with the CEO and Chair to ensure the board's support is felt, not just assumed.
4. Enable Strategic Agendas
Push for board agendas that allow space for long-term thinking and honest debate. CHROs can influence meeting design and enable management to come prepared with the right insights.
